Key terms from the Northwind master services agreement:

Term and renewal: The agreement runs to March 31, 2027 and renews for one-year terms unless either party gives 90 days’ written notice.
Assignment: Neither party may assign the agreement, including through a merger or change of control, without the other’s prior written consent.
Termination: If an assignment happens without consent, Northwind may terminate on 30 days’ notice and receives a pro-rata refund of prepaid fees.
Price changes: Renewal pricing may rise by CPI plus 2%, capped at 7% in any year.
Liability: Each party’s liability is capped at the fees paid in the prior twelve months, excluding confidentiality and data breaches.

Summary
Northwind has asked to renew for ~~one year~~ two years across finance, legal and operations, and to add the team joining from its acquisition in November.
Pricing
We recommend the enterprise plan at ~~380~~ 420 seats, held at the current per-seat rate for the full term, with the acquired team’s seats added from January.
Terms
Keep the standard 30-day renewal notice ~~and the existing liability cap~~ and raise the liability cap to twelve months of fees, in line with the contracting playbook.
